Agrokor Administrator Calls Assemblies

Agrokor companies listed at the Zagreb Stock Exchange reported that Administrator Ramljak asked their managements to convene general assemblies, to discuss among other things coverage of losses incurred in 2016. Jamnica, Žitnjak, Ledo, Tisak, Belje, PIK Vinkovci and Vupik announced that Ramljak asked for assemblies to be held within ten days from a call to shareholders.
He also proposed the agenda, including the report of the Supervisory Board on oversight of operations in 2016, managements and auditors’ annual reports for 2016, annual financial reports, consolidated financial reports for 2016, and decisions on clearances to be given to management and supervisory boards.
Also, all companies are expected to decide on covering the losses in 2016, and nomination of auditors for 2017.
According to revised audits, Jamnica’s consolidated loss for 2016 was Kn – 255.6 million, Tisak lost Kn – 388 million, Ledo Kn – 270, Belje Kn – 45 million, Žitnjak Kn – 29.8 million, PIK Vrbovci Kn – 233 milion, and PIK Vrbovec Kn – 8 million.
For Belje and Vupik Mr Ramljak is proposing to appoint special auditors to audit the companies’ operations “with particular emphasis on operations concerning the largest individual shareholder Agrokor d.d.”. He is suggesting that Deloitte be the new auditor.
Belje is expected to amend its decision on coverage of 2015 losses, adopted in August 2016, and PIK Vinkovci to amend its statutes.
